GLOBAL SERVICES AGREEMENT SUPPLEMENTAL TERMS

LOCAL REQUIREMENTS FOR CANADA

These Local Requirements (“LR”) incorporate and modify the Agreement solely with respect to Products and Services provided by Vendor in Canada to an Amazon Affiliate in Canada. The parties agree to be bound by the terms of the Agreement (as supplemented and amended by the terms of these LR).  These LR do not apply to Products and Services provided outside of Canada, or that are not provided by Vendor in Canada. Solely with respect to the provision of Products and Services in Canada, in the event of a conflict between the terms and conditions of these LR and the Agreement, the terms and conditions of these LR will control.

1.       Quebec, Canada: For the provision of Products and Services by Vendor to Amazon in Quebec, Canada the following provisions apply:

1.a.     Language; Interpretation; Currency. It is the express wish of the parties that this document and any related documents be drafted and executed in English. Les parties aux présentes ont expressément demandé que ce document et tous les documents s’y rattachant soient rédigés et signés en anglais. Any translation of this Agreement into another language will be for reference only and without legal effect. The parties have fully negotiated this Agreement, and it will be interpreted according to the plain meaning of its terms without any presumption that it should be construed either for or against either party. Unless otherwise expressly stated, when used in this Agreement “include”, “includes”, and “including” are not exclusive or limiting; “Section” refers to this Agreement’s provisions; each “and” or “or” means “and” and “or”; “days” refers to consecutive calendar days including Saturdays, Sundays and holidays; “dollars” and the symbol “$” refer to United States dollars; and “Exhibit” refers to the Exhibits attached to this Agreement. Section headings in this Agreement are for ease of reference only. 

1.b.      Independent Contractors; Personnel.                                    

1.b.i.    Health and Safety. Prior to beginning any on-site Services, Vendor will determine if there is a Principal Contractor (as that term is defined in the Act respecting Occupational Health and Safety) with respect to the Services. If there is no other Principal Contractor, then Vendor will serve as the Principal Contractor with respect to the Services.  In the event Vendor is not the Principal Contractor, then Vendor will cooperate and work closely with the Principal Contractor and other contractors performing on-site work without delaying or hindering in any way their work. Vendor acknowledges that the Principal Contractor (or Vendor if it is acting as Principal Contractor) assumes all obligations and responsibilities as Principal Contractor for all on-site work, including the Services, and, as such, Vendor agrees to submit to the authority of the Principal Contractor with respect to the on-site Services. Vendor will take the necessary measures to protect the health and ensure the safety and physical integrity of its Personnel and collaborate with the Principal Contractor to do so. Vendor will comply with any instructions of the Principal Contractor relating to the on-site Services and Deliverables, and provide all the collaboration required to comply with any inspection report, correction notice, notice of offense, order or decision issued by the Principal Contractor in connection with any on-site work.                                              

1.b.ii.    Safety on Site. Vendor will respect, and ensure that its Personnel, Subcontractors and any other person for which Vendor is responsible respect, the prevention program established by the Principal Contractor (or Vendor if it is acting as Principal Contractor) as well as the requirements of any Law relating to health and safety at work, including but not limited to the Act respecting Occupational Health and Safety, Occupational Health and Safety Act, and the Safety Code for the Construction Industry. Before commencing on-site Services or providing Deliverables to the site, Vendor must provide its own prevention program to the Principal Contractor for approval. If Vendor is acting as Principal Contractor on the site, Vendor will ensure application of its own prevention program to the Services.

2.       Alberta, Canada: For the provision of Products and Services by Vendor to Amazon in Alberta, Canada the following provisions apply:

2.a.       Health and Safety.  Vendor will comply with the provisions ‎of the Occupational Health and Safety Act (“OHSA”) and any amendments ‎thereto and regulations thereunder or any successive legislation, and the Occupational ‎Health and Safety Code (“OHS Code”) and will at all times ensure that all Vendor Personnel and Subcontractors at the Site ‎comply with the requirements of the OHSA and ‎regulations thereunder and the OHS Code. ‎Vendor will be the general representative ‎and agent to Amazon for the purposes of insuring ‎compliance with safety regulations for both itself ‎and Subcontractors. Vendor will bring to the ‎attention of Subcontractors the provisions of the ‎OHSA and regulations thereunder and the OHS ‎Code. Prior to beginning any on-site Services, Vendor will determine if there is a Prime Contractor (as defined in the OSHA) with respect to the Services.  If there is no other Prime Contractor, then Vendor will serve as the Prime Contractor with respect to the Services ‎and will ensure that any Vendor Personnel, Subcontractors and any other person for which Vendor is responsible comply with ‎the OHSA and OHS Code while on the site. Vendor will take the necessary measures to protect the health and ensure the safety and physical integrity of its Personnel and collaborate with the Prime Contractor (if Vendor is not acting as Prime Contractor) to do so. Vendor will comply with any instructions of the Prime Contractor relating to the on-site Services and Deliverables, and provide all the collaboration required to comply with any inspection report, correction notice, notice of offense, order or decision issued by the Prime Contractor in connection with any on-site work.
