LOCAL REQUIREMENTS FOR JAPAN

These Local Requirements (“LR”) incorporate and modify the Agreement solely with respect  to Products and Services provided by Vendor in Japan to an Amazon Affiliate in Japan. The parties agree to be bound by the tems of the Agreement (as supplemented and amended by the terms of these LR).  These LR do not apply to Products and Services provided outside of Japan, or that are not provided by Vendor in Japan. Solely with respect to the provision of Products and Services in Japan, in the event of a conflict between the terms and conditions of these LR and the Agreement, the terms and conditions of these LR will control.

1.      Governing Law; Venue.  This Agreement shall be governed and interpreted in accordance with the laws of Japan, (even if its choice of law rule, the United Nations Convention on Contracts for the International Sale of Goods or other similar provision states otherwise).  In the event that any dispute is not resolved by consultation as provided in the preceding paragraph, Contractor agrees to the exclusive original jurisdiction of the Tokyo District court or the Tokyo Summary court for such dispute depending on the amount claimed by such lawsuit and waives all objections to jurisdiction and venue of such courts.
