Amazon One Enterprise Device Terms of Use

This is an agreement between you and Amazon.com Services LLC. (with its affiliates, "Amazon," “us” or "we"). Please read these Amazon One Enterprise Device Terms of Use, AWS Customer Agreement, AWS Service Terms (or other agreement with us governing your use of our Services), and the Amazon Business Account Terms and Conditions (the “Business Account Terms”) (collectively, this "Agreement"), as well as the Amazon.com Privacy Notice (www.amazon.com/privacy) (the “Privacy Notice”) before purchasing, installing, and using Amazon One Enterprise Devices. By purchasing Amazon One Enterprise Devices, you and the Enterprise you represent agree to be bound by the terms of this Agreement and acknowledge and agree that you have reviewed the Privacy Notice. If you do not accept the terms of this Agreement, then you may not use the Amazon One Enterprise Devices.

For the purpose of these Amazon One Enterprise Device Terms of Use:

“Amazon One Enterprise Device” means Amazon One Enterprise devices and all hardware and accessories provided by Amazon and used by you in connection with the Amazon One Enterprise services.

“AWS” means Amazon Web Services, Inc.

“AWS Agreement” means the AWS Customer Agreement (available at https://aws.amazon.com/agreement/) or other agreement with AWS governing your use of AWS.

“AWS Site” means http://aws.amazon.com (and any successor or related site designated by us), as may be updated by us from time to time.

“End User” means End User as defined in the AWS Customer Agreement that is also specifically an End User of the Amazon One Enterprise Device.

"Enterprise” means the business or commercial entity to whom AWS sells the Amazon One Enterprise Device solely to manage its internal business operations in accordance with the Agreement.

“Personal Information” means any personal information collected, generated, processed, analyzed, stored, used, or deleted by the Amazon One Enterprise Service on behalf of the Enterprise relating to End Users, including without limitation names, phone numbers, e-mail addresses, and other personally identifiable information of such End Users, which could include Palm Data.

“Services” means the Amazon One Enterprise Service and AWS service offerings.

“Software” means all software we make available to you for use on or with an Amazon One Enterprise Device.

“Suggestions” means all suggested improvements to the Amazon One Enterprise Devices or Services.

“Unauthorized Locations” means any and all locations, jurisdictions, and/or geographic areas listed in aws.amazon.com/one-enterprise/unauthorized-locations, as updated from time to time in our sole discretion, where you may not and will not install or use an Amazon One Enterprise Device.

Any terms not defined herein shall have the meaning assigned to them in the AWS Customer Agreement, AWS Service Terms, Business Account Terms, or other agreement with us governing your use of our Services.To the extent there is a conflict in the meaning of a term between the meaning provided in these Amazon One Enterprise Device Terms and any other agreement, the definition set forth herein shall prevail.

1. Use of Amazon One Enterprise Devices and Software.

a. Permitted Uses. Subject to your compliance with this Agreement, and your payment of any applicable fees, you may use Amazon One Enterprise Devices solely:(i) in conjunction with the Amazon One Enterprise Service; (ii) to manage your internal business operations;(iii) to collect and process information, including Personal Information, from End Users in the context of their employment or commercial engagement with you and not from any individuals or End Users acting in their household or personal capacity; and (iv) in the specific location or Facility to which you requested that we deliver the Amazon One Enterprise Devices at the time of purchase, or location specified during the original activation of the Amazon One Enterprise Device, but in no event, will you use or install Amazon One Enterprise Devices in any Unauthorized Locations.

b.Limited License.Subject to your compliance with this Agreement, and your payment of any applicable fees, Amazon grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Software solely on or in conjunction with Amazon One Enterprise Devices for the purposes of enabling you to use Amazon One Enterprise Devices and access the Amazon One Enterprise Services in the manner permitted by this Agreement. All rights not expressly granted to you in this Agreement are reserved and retained by Amazon or its licensors. AWS or its affiliates maintain all rights in the Software and is not selling, renting, leasing, or transferring any ownership, intellectual or other rights in the Software to you. You will not, and will not purport to, assign, grant, or transfer the Software or any interest in the Software to any individual or entity, and any such purported assignment, grant or transfer is void. Without limiting the foregoing, you will not (or attempt to), and will not permit or authorize third parties to (or attempt to), circumvent or disable any features or measures in the Software. You acknowledge that the Amazon One Enterprise Devices may be equipped with tamper monitoring technology or features.AWS, its affiliates, licensors and suppliers own all rights, title and interest in and to any intellectual property in the Amazon One Enterprise Device as well as any know-how, derivative works, inventions, processes, databases, documentation, training materials, and any other intellectual property and any tangible embodiments of it.

c. Restrictions. Except as expressly permitted in writing by AWS with respect to Amazon One Enterprise Devices, you may not reverse engineer, decompile, disassemble, remove, disable, tamper with, or bypass any components, features, mechanisms or protocols of Amazon One Enterprise Devices or the Software. You may not use Amazon One Enterprise Devices or the Software: (i) to perform or promote activities that are illegal; (ii) to violate or infringe the intellectual property, proprietary, or other rights of others; or (iii) in ways that may be harmful to others or to Amazon’s operations or reputation. From time to time, we may apply upgrades, patches, bug fixes or other maintenance to the Software (“Maintenance”). You agree to comply with any Maintenance requirements that we notify you about. We may initiate over the air firmware updates to the Amazon One Enterprise Devices without prior notice to you. If you are a U.S. Government customer, we are licensing the Software to you as a "computer software," and any related products or Services provided under this Agreement are provided as “commercial products” or “commercial services,” as those term are defined in the Federal Acquisition Regulation (FAR) (see 48 C.F.R. § 2.101), and the rights we grant you to the Software are the same as the rights we grant to all others under this Agreement. For the avoidance of doubt, the Software is commercial computer software and is acquired by you under a license customarily provided to the public, as set forth in FAR part 12.212 (see 48 C.F.R. §12,212).In the event of any conflict between this Agreement and any other Amazon or third-party terms applicable to any portion of the Software, such as open-source license terms, such other terms will control as to that portion of the Software and to the extent of the conflict.

2. Installation and Device Requirements.

a.Amazon One Enterprise Device Installation and Configuration.Amazon One Enterprise Devices must be installed and configured in accordance with the instructions and specifications provided.It is your responsibility to ensure that the Amazon One Enterprise Device is properly installed and configured in accordance with these instructions and specifications, and if it is not, you understand that the Amazon One Enterprise Devices might not function properly or be able to provide you Services.You shall install Amazon One Enterprise Devices only in indoor locations and where they are not exposed to any extreme temperatures. You agree that you will not allow any Amazon One Enterprise Device to be installed or used in a location or Facility other than the one to which you requested that we deliver the Amazon One Enterprise Devices at the time of purchase, or location specified during the original activation of the Amazon One Enterprise Device, and in no event, will you use or install Amazon One Enterprise Devices in any Unauthorized Locations.

b.Device Requirement and Maintenance.The Amazon One Enterprise Device requires access to the internet, whether through a direct or wireless connection, and electricity in order to function and provide Services.It is your sole responsibility to provide these, and AWS is not responsible for any disruptions in Service as a result of your or any third-party’s inability to provide these to you.In addition, you agree to maintain the Amazon One Enterprise Device in accordance with any documentation provided to you relating to its care and/or maintenance and understand that any failure to properly care for and maintain the Amazon One Enterprise Device in accordance therewith could cause the device to malfunction or fail.

c.Third-Party Device Integration.The Amazon One Enterprise Device can be used in conjunction with and can integrate its Services with other third-party Enterprise devices and services, such as access devices and entry methods (e.g. doors, door locks, turnstiles, gates, etc.) (collectively, “Third-Party Enterprise Device(s)”).AWS is not responsible or liable in any way for these Third-Party Enterprise Devices, including your decision to use them in conjunction with an Amazon One Enterprise Device, the functions they provide, the services they deliver, and/or their failure to provide or deny access, entry, open, close, lock, unlock, or operate in any way.AWS makes no representations or warranties that Amazon One Enterprise Devices will be compatible with or continue to be compatible with any specific Third-Party Enterprise Devices.Third-Party Enterprise Devices are independent products and services, which are governed by your agreements with the third parties that provide them to you and not by this Agreement.

3.General

a. Changes to Services or Devices. Amendments. We may change, suspend, or discontinue the Services, or any part of any of them, at any time without notice. We may amend any of this Agreement's terms at our sole discretion by posting the revised terms on the AWS Site. Your continued use of Amazon One Enterprise Devices after the effective date of the revised Agreement constitutes your acceptance of the terms.We may change the design, features, and/or functionality of the Amazon One Enterprise Device from time to time and may discontinue supporting or providing Software or Services to certain models of Amazon One Enterprise Devices.To the extent practicable, we will provide you notice if we plan to discontinue or stop supporting Software or Services to your Amazon One Enterprise Device.

b. Termination. Your rights under this Agreement will automatically terminate without notice if you fail to comply with any of its terms. Amazon’s failure to insist upon or enforce your strict compliance with this Agreement will not constitute a waiver of any of its rights.

c. Suggestions. If you provide any Suggestions, we will be entitled to use the Suggestions without restriction. You hereby irrevocably assign to us all right, title, and interest in and to the Suggestions and agree to provide us any assistance we require to document, perfect, and maintain our rights in the Suggestions.

d. Shipping, Delivery, and Risk of Loss. We will ship the Amazon One Enterprise Devices to you at the delivery destination requested at time of purchase, or location specified during the original activation of the Amazon One Enterprise Device, so long as it is in a jurisdiction in which Amazon has approved of use of Amazon One Enterprise Devices.We will not ship Amazon One Enterprise Devices to Unauthorized Locations.We reserve the right to make shipments to you in installments when Amazon One Enterprise Devices are or become available, and under no circumstances will Amazon be liable for delay either in shipment or in delivery.All other provisions relating to shipping, delivery, risk of loss, and returns are set forth in the Business Account Terms.You are responsible for payment of all customs, duties, taxes, tariffs and any other governmental charges in connection with Amazon One Enterprise Devices being shipped to or from us. You are responsible for any damage to, or loss of, an Amazon One Enterprise Device after delivery to the carrier. You are responsible for complying with all applicable data protection, import, re-import, export, and re-export control laws, including any applicable license requirements, and country-specific sanctions programs. You are responsible for serving as the exporter and importer of record (as applicable) for your data, software, or technology, and you accept that Amazon will not participate in the export or import procedure.

e.Access to and use of Software.We will provide you with access to required Software on the Amazon One Enterprise Devices once they are properly installed and configured. You understand and acknowledge that the Amazon One Enterprise Devices are configured and equipped with certain user interfaces, consents, notices, and disclosures the are specific to the location in which they will be used, and so, you agree that you will not move or allow any Amazon One Enterprise Device to be moved to, or used, in a state or territory other than the one to which the Amazon One Enterprise Device was originally intended to be installed, and you will not use or install Amazon One Enterprise Devices in any Unauthorized Locations .Title to Software shall remain solely with AWS.

4.Limited Warranty.Amazon provides you a One-Year Limited Warranty for your Amazon One Enterprise Device.

Limited Warranty Exclusions.The above-referenced limited warranty does not extend to any damages, malfunctions, or non-conformities caused by: (a) your use of the Amazon One Enterprise Device in violation of this Agreement or in a manner inconsistent with the documentation; (b) normal wear due to use, including but not limited to device cosmetics and display scratches; (c) use of non-AWS furnished equipment, hardware, or software; (d) your failure to follow our installation, configuration, operation, care or maintenance documentation, instructions, or specifications; (e) your failure to permit us timely access, remote or otherwise, to the Amazon One Enterprise Device; or (f) failure to implement all new updates to Software provided under this Agreement. Warranties do not extend to Amazon One Enterprise Devices if they have been tampered with, opened, or disassembled in anyway or that have been serviced or modified other than by us or a third party specifically authorized by AWS to provide the service or modification.

5. Disclaimer of Warranties and Limitation of Liability.

WITH THE EXCEPTION OF THE LIMITED WARRANTY PROVIDED IN SECTION 4 ABOVE, TO THE FULL EXTENT PERMISSIBLE BY LAW AND UNLESS OTHERWISE SPECIFIED IN WRITING: (A) AMAZON ONE ENTERPRISE DEVICES AND OTHER SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS; (B) WE AND OUR LICENSORS MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF AMAZON ONE ENTERPRISE DEVICES OR OTHER SERVICES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE OR THAT AMAZON ONE ENTERPRISE DEVICES OR THE OTHER SERVICES ARE ERROR FREE OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (C) AMAZON ONE ENTERPRISE DEVICES AND OTHER SERVICES ARE NOT INTENDED FOR USE IN, OR IN ASSOCIATION WITH, THE OPERATION OF ANY HAZARDOUS ENVIRONMENTS OR CRITICAL SYSTEMS OR WHERE THE FAILURE OF AMAZON ONE ENTERPRISE DEVICES OR OTHER SERVICES COULD LEAD TO SERIOUS BODY INJURY OR DEATH OR CAUSE ENVIRONMENTAL OR PROPERTY DAMAGE, AND YOU ARE SOLELY RESPONSIBLE FOR LIABILITY THAT MAY ARISE IN CONNECTION WITH ANY SUCH USE; (D) YOUR USE OF AMAZON ONE ENTERPRISE DEVICES AND THE OTHER SERVICES IS AT YOUR SOLE RISK; (E) WE AND OUR LICENSORS WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF AMAZON ONE ENTERPRISE DEVICES OR THE OTHER SERVICES, INCLUDING, BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES SUCH AS LOST PROFITS, LOST DATA AND LOST REVENUE; AND (F) IN NO EVENT WILL OUR OR OUR LICENSORS' AGGREGATE LIABILITY ARISING FROM OR RELATING TO THIS AGREEMENT OR THE USE OR INABILITY TO USE AMAZON ONE ENTERPRISE DEVICES OR OTHER SERVICES EXCEED THE GREATER OF FIFTY DOLLARS ($50.00) OR THE AMOUNT YOU ACTUALLY PAID FOR THE AMAZON ONE ENTERPRISE DEVICE.

6. Indemnification.

In addition to your indemnification obligations under the Agreement, you will (i) defend, or, at your option, settle, any claim brought against Amazon and its Affiliates and (ii) pay the amount of any adverse final judgment or settlement of any such Claim, to the extent such claim is concerning or relates to:(a) your breach of these Amazon One Enterprise Device Terms of Use; (b) any unlawful, improper, unauthorized, or negligent use by anyone of any product sold or service provided to you under the Agreement, (c) any dispute between you and your End Users, or (d) your gross negligence or willful misconduct. CLAIMS RELATED TO YOUR INDEMNIFICATION OBLIGATION IN THIS SECTION 6 ARE NOT SUBJECT TO ANY CAP ON LIABILITY.

One-Year Limited Warranty for Amazon One Enterprise Device

This One-Year Limited Warranty (“Warranty”) covers only Amazon One Enterprise device hardware, meaning the Amazon One Enterprise device and any hardware and accessories you purchase from Amazon that are specifically sold for use with the Amazon One Enterprise device (collectively, the “Amazon One Enterprise Device”).

This Warranty for the Device is provided by the entity set forth below. The provider of this Warranty is sometimes referred to herein as "we."

Subject to your compliance with the Amazon One Enterprise Device Terms of Use, AWS Customer Agreement, AWS Service Terms, or other agreement with AWS governing your use of the AWS Service offerings; including, but not limited to your full compliance with any documentation relating to installation, configuration, care and/or maintenance requirements (as described in Amazon One Enterprise Device Terms of Use), we warrant the Device against defects in materials and workmanship under ordinary use for One year from the date of original purchase. During this warranty period, if a defect arises in the Amazon One Enterprise Device, and you follow the instructions for returning the Amazon One Enterprise Device, we will at our option, to the extent permitted by law, either (i) repair the Amazon One Enterprise Device using either new or refurbished parts, (ii) within 30 days of return, replace the Amazon One Enterprise Device with a new or refurbished Amazon One Enterprise Device that is equivalent to the Amazon One Enterprise Device to be replaced, or (iii) refund to you all or part of the purchase price of the Amazon One Enterprise Device. This Warranty applies, to the extent permitted by law, to any repair, replacement part or replacement of an Amazon One Enterprise Device for the remainder of the original warranty period or for ninety days, whichever period is longer. All replaced parts and Amazon One Enterprise Device for which a refund is given shall become our property. This Warranty applies only to hardware components of the Amazon One Enterprise Device that are not subject to accident, misuse, neglect, fire, water, or other external causes, alterations, modifications, or repairs. You understand and acknowledge that the Amazon One Enterprise Devices are configured and equipped with certain user interfaces, consents, notices, and disclosures that are specific to the location in which they are intended to be used, and so, you agree that you will not move or allow any Amazon One Enterprise Device to be shipped moved to, or used, in a state or, territory other than the one to which the Amazon One Enterprise Device was originally intended to be installed and will not tamper with or attempt to modify any Amazon One Enterprise Device.

Instructions. For specific instructions about how to obtain warranty service for your Amazon One Enterprise Device, please contact Customer Service using the contact information at the bottom of this page. In general, you will need to deliver your Amazon One Enterprise Device, including any parts and accessories, in either its original packaging or in equally protective packaging to the address specified by Customer Service.

Limitations. TO THE EXTENT PERMITTED BY LAW, THE WARRANTY AND REMEDIES SET FORTH ABOVE ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES AND REMEDIES, AND WE SPECIFICALLY DISCLAIM ALL STATUTORY OR IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND AGAINST HIDDEN OR LATENT DEFECTS. IF WE CANNOT LAWFULLY DISCLAIM STATUTORY OR IMPLIED WARRANTIES, THEN TO THE EXTENT PERMITTED BY LAW, ALL SUCH WARRANTIES SHALL BE LIMITED IN DURATION TO THE DURATION OF THIS EXPRESS LIMITED WARRANTY AND TO REPAIR OR REPLACEMENT SERVICE. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG A STATUTORY OR IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. WE ARE NOT RESPONSIBLE FOR DIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES RESULTING FROM ANY BREACH OF WARRANTY OR UNDER ANY OTHER LEGAL THEORY. IN SOME JURISDICTIONS THE FOREGOING LIMITATION DOES NOT APPLY TO DEATH OR PERSONAL INJURY CLAIMS, OR ANY STATUTORY LIABILITY FOR INTENTIONAL AND GROSSLY NEGLIGENT ACTS AND/OR OMISSIONS, SO THE ABOVE EXCLUSION OR LIMITATION MAY NOT APPLY TO YOU. This Warranty gives you specific rights. You may have additional rights under applicable law, and this Warranty does not affect such rights.
