Learn2Earn Program Terms and Conditions

PROMOTIONAL OFFER DESCRIPTION:
Learn2Earn is a program designed to encourage customers to complete their AWS Training order to receive promotional credits to further support their adoption and exploration of AWS offerings (“Learn2Earn Program”). Learn2Earn will provide Learn2Earn Credits to Eligible Customers who spend up to the Total Eligible Spend for a Qualifying Training Purchase in a Learn2Earn Training Order. These Learn2Earn Program Terms and Conditions (the “Program Terms”) are made a part of the AWS Customer Agreement available at http://www.aws.amazon.com/agreement, or other written agreement, governing your use of the Services (collectively, the “Agreement”) and govern your participation in this Learn2Earn Program. They are effective as of the date the last party agrees to a Learn2Earn Training Order (“Learn2Earn Participation Effective Date”). All capitalized terms used but not defined in these Program Terms will have the meanings set forth in the Agreement. The parties agree as follows:
1. Learn2Earn Credits. You will be eligible to receive Learn2Earn Credits according to the Percent Funded, listed on a Learn2Earn Training Order, for your Eligible Spend on each Qualifying Training Purchase in the current calendar year.
1.1 Calculating Learn2Earn Credits. Learn2Earn Credits will be calculated based on the delivery of a Qualifying Training Purchase, exclusive of taxes, travel, and expenses. Public and third-party training courses will not count toward the calculation and distribution of Learn2Earn Credits.
1.2 Disbursing Learn2Earn Credits. AWS will disburse the Learn2Earn Credits to your Designated Account for each Training Invoice you pay in full for Qualifying Training Purchases that have been delivered. Payment of fees for canceled classes does not count towards your completion of a Qualifying Training Purchase. Learn2Earn Credits will be disbursed within 60 calendar days of payment of the final Training Invoice (the “Disbursement Date”), in United States Dollars using an exchange rate determined by AWS. In case of prepayment for a Qualifying Training Purchase, AWS will disburse Learn2Earn Credits within 60 calendar days of delivery of a Qualifying Training Purchase.
1.3 Credit Application and Restrictions. Learn2Earn Credits will be redeemed as Promotional Credits against fees for use of Eligible Services, beginning with the invoice covering each Learn2Earn Credit Disbursement Date. AWS will apply the Learn2Earn Credits to the Designated Account. Learn2Earn Credits are subject to the AWS Promotional Credit Terms & Conditions, available at https://aws.amazon.com/awscredits/. Learn2Earn Credits are valid for one year from the Learn2Earn Credit Disbursement Date.
2. Term & Termination.
2.1 Term. These Program Terms are effective as of the Learn2Earn Participation Effective Date and will continue until the end of the Learn2Earn Credit Period.
2.2 Your Termination. You may terminate your participation in this Learn2Earn Program at any time by providing written notice to AWS. If you terminate prior to the end of the Learn2Earn Credit Period, your Eligible Spend will be calculated based on a Qualifying Training Purchase delivered up to and including the termination date. Any Learn2Earn Credits for which you are eligible at such time based on that calculation will be disbursed to you in accordance with Section 1.2, and any disbursed, unused, and unexpired Learn2Earn Credits will be applied to fees for the use of Eligible Services in accordance with Section 1.3.
2.3 Termination for Violation. Upon termination for violation of these Program Terms you will receive no further Learn2Earn Credits and any unused Learn2Earn Credits that have been disbursed to you will be cancelled.
2.4 Termination of the Agreement. Your eligibility for Learn2Earn Credits under these Program Terms will automatically terminate upon any termination of the Agreement. Upon such termination, you will receive no further Learn2Earn Credits and any unused Learn2Earn Credits that have been disbursed to you will be cancelled.
2.5 End of Learn2Earn Program. Unless otherwise mutually agreed, AWS will give you 60 calendar days’ notice of any decision to terminate this Learn2Earn Program. Following such notice, any Learn2Earn Credits for which you are eligible during the notice period will continue to be calculated and disbursed to you, and any disbursed, unused, and unexpired Learn2Earn Credits will continue to be applied to fees for the use of Eligible Services.
3. Confidentiality. Your individual Learn2Earn terms, including but not limited to the % Funded at which you earn Learn2Earn Credits for Eligible Spend, are not publicly known and you will not disclose them. Your individual Learn2Earn terms are AWS Confidential Information under the Agreement and are subject to any Nondisclosure Agreement applicable between you (or your affiliate(s) and AWS.
4. Restriction of Use.
4.1 The Learn2Earn Program is not available to customers in Cuba, Iran, North Korea, Syria, Russia, and the regions of Crimea, Luhansk, and Donetsk.
4.2 Your Eligible Spend in a Learn2Earn Training Order may not be discounted or otherwise combined with other offers for which you may be eligible.
4.3 Any AWS offer for you to participate in the Learn2Earn Program is non-transferable and may not be resold.
4.4 Any AWS offer for you to participate in the Learn2Earn Program is valid while Learn2Earn Credits last.
4.5 If you violate any of these Program Terms, the offer will be invalid upon termination or cancellation.
4.6 Your information is handled in accordance with the AWS Privacy Notice, available at https://aws.amazon.com/privacy/.
4.7 If you are part of, or substantially owned, funded, managed, or controlled by, any government at any level: (a) you acknowledge that the Learn2Earn Credits are solely for the purpose of increasing cloud competence; are not intended to result in any favorable or otherwise beneficial treatment nor to reward or influence any business activity or competitive procurement or solicitation; are offered independently of any past, current, or prospective commercial transaction; and will not give rise to any actual or apparent conflict of interest; and (b) you certify that you have confirmed with appropriate parties that your acceptance of the Learn2Earn Credits complies with your internal policies and any applicable laws, rules, and regulations.
5. Definitions.
“Designated Account” means the account you identify on a Learn2Earn Training Order where Learn2Earn Credits will be disbursed.
“Eligible Customers” means customers who have been invited by AWS to participate in the Learn2Earn Program.
“Eligible Regions” means the AWS regions and locations listed at https://regionslist.s3.amazonaws.com/Eligible+Regions.pdf.
“Eligible Services” has the meanings set forth in the AWS Promotional Credit Terms & Conditions, available at https://aws.amazon.com/awscredits/.
“Eligible Spend” means the amount spent by you on a Qualifying Training Purchase. Eligible Spend will be calculated on a monthly basis based on the amount paid by you for each Training Invoice, less any taxes and expenses.
“ILT” means Instructor-led training offered by AWS and delivered through in-person or virtual classes.
“Learn2Earn Credit” means AWS Promotional Credit you receive for qualifying actions taken under a Learn2Earn Training Order pursuant to your participation in the Learn2Earn Program.
“Learn2Earn Credit Period” means, for each Learn2Earn Credit, the 12-month period starting from the Disbursement Date.
“Learn2Earn Training Order” means a Training Order for a Qualifying Training Purchase that incorporates these Program Terms by reference.
“Percent Funded” means the rate at which your Eligible Spend on a Qualifying Training Purchase earns Learn2Earn Credits. The Percent Funded will be stated on each Learn2Earn Training Order.
“Promotional Credit” means credits applicable toward Eligible Services and subject to the AWS Promotional Credit Terms and Conditions available at https://aws.amazon.com/awscredits/.
“Qualifying Training Purchase” means:
(i) A private ILT scheduled through a mutually-agreed and binding Learn2Earn Training Order for classes delivered from the Learn2Earn Participation Effective Date through the end of that calendar year. Classes must be delivered in Argentina, Australia, Austria, Bahrain, Belgium, Brazil, Canada, Chile, China, Colombia, Costa Rica, Croatia, Cyprus, Czech Republic, Denmark, Egypt, Finland, France, Germany, Greece, Hong Kong, Hungary, India, Indonesia, Ireland, Israel, Italy, Japan, Kazakhstan, Kuwait, Malaysia, Malta, Mexico, Netherlands, New Zealand, Norway, Peru, Philippines, Poland, Portugal, Puerto Rico, Romania, Saudi Arabia (KSA), Singapore, Slovakia, South Africa, South Korea, Spain, Sweden, Switzerland, Taiwan, Thailand, Turkey, UAE, Ukraine, United Kingdom, United States, or Vietnam; or
(ii) A Skill Builder Team subscription purchase for 100+ Seats through a mutually-agreed and binding Learn2Earn Training Order for Skill Builder Team subscription access delivered from the Learn2Earn Participation Effective Date through the end of that calendar year.
(iii) An Enterprise Skills Transformation engagement through a mutually-agreed and binding Learn2Earn Training Order for Enterprise Skills Transformation delivered from the Learn2Earn Participation Effective Date through the end of that calendar year.
“Training Invoice” means an invoice AWS sends to you for delivered a Qualifying Training Purchase.
