LOCAL REQUIREMENTS FOR AUSTRALIA

These Local Requirements (“LR”) incorporate and modify the Agreement solely with respect to Products and Services provided by Vendor in Australia to an Amazon Affiliate in Australia. The parties agree to be bound by the terms of the Agreement (as supplemented and amended by the terms of these LR).  These LR do not apply to Products and Services provided outside of Australia, or that are not provided by Vendor in Australia. Solely with respect to the provision of Products and Services in Australia, in the event of a conflict between the terms and conditions of these LR and the Agreement, the terms and conditions of these LR will control.

1.      Data Protection. 

1.a.       Compliance. To the extent that the Amazon provides any personal information to Vendor, Vendor must comply with the Privacy Act 1988 (including the Australian Privacy Principles) and Amazon's privacy policy as updated from time to time.  Further, to the extent that Vendor or any of its Personnel collects or provides Amazon with personal information in connection with the Services, Vendor hereby acknowledges and agrees that it is solely responsible for obtaining all consents required under applicable Laws in connection with the collection, disclosure, use, processing and transfer of the personal information to and by Amazon or its Affiliates, or any of their respective directors, officers, employees, agents, successors or assigns, in connection with the Services or exercise of Amazon’s rights related to the Services.

1.b.      Purpose. Vendor must only use the personal information provided by Amazon for the purposes for which it was given or otherwise only to the extent necessary to provide the Services and the Deliverables.

1.c.      Prohibition on Cross-Border Disclosure. Vendor must not transfer any personal information outside of Australia without Amazon's prior written consent, which may include such conditions as Amazon considers appropriate.

1.d.       Breach. Vendor must immediately notify Amazon of any breach of its obligations under this clause (including any unauthorized disclosure of personal information) and co-operate with Amazon in relation to any such breach.

2.       Modern Slavery Requirements. Vendor employees, agents, and subcontractors, will comply with all applicable Modern Slavery Laws. Vendor will respond to any requests made by Amazon to provide assistance, information, or documents, or to interview any person, regarding compliance with Modern Slavery Laws.

2.a.      “Modern Slavery Laws” means the Modern Slavery Act 2018 (Cth) and any other laws relating to modern slavery, human trafficking, forced labor, child labor, bonded labor, or similar unethical conduct.
