LOCAL REQUIREMENTS FOR CHINA

These Local Requirements (“LR”) incorporate and modify the Agreement solely with respect to Products and Services provided by Vendor in China to an Amazon Affiliate in China. The parties agree to be bound by the terms of the Agreement (as supplemented and amended by the terms of these LR). These LR do not apply to Products and Services provided outside of China, or that are not provided by Vendor in China. Solely with respect to the provision of Products and Services in China, in the event of a conflict between the terms and conditions of these LR and the Agreement, the terms and conditions of these LR will control.

1.      Governing Law/Venue. Governing Law; Venue. This Agreement is governed by the Laws of the People’s Republic of China excluding any conflicts of laws, rules or principles. The United Nations Convention on Contracts for the International Sale of Goods will not apply to this Agreement. Any dispute arising under, in connection with, or incident to this Agreement or about its interpretation will be resolved exclusively by arbitration in Beijing by the China International Economic and Trade Arbitration Commission (“CIETAC”) in accordance with its rules in effect at the time of applying for arbitration. The seat of arbitration shall be Beijing. Any matter referred to arbitration shall be determined by three (3) arbitrators of which one shall be appointed by Amazon, the second appointed by Vendor and the third by both parties. In the event that the parties fail to agree on the appointment of the third arbitrator, then the third arbitrator shall be appointed by the director of CIETAC. Upon such reference to arbitration the costs of and incidental thereto shall be determined by the arbitrators. The arbitration proceedings shall be conducted in both English and Chinese. The award of the arbitrators shall be final and binding on the parties. Vendor irrevocably submits to CIETAC’s arbitration venue and jurisdiction. Vendor waives all defenses of lack of personal jurisdiction and forum non-conveniens.
