LOCAL REQUIREMENTS FOR ISRAEL

These Local Requirements (“LR”) incorporate and modify the Agreement solely with respect to Products and Services provided by Vendor in Israel to an Amazon Affiliate in Israel. The parties agree to be bound by the terms of the Agreement (as supplemented and amended by the terms of these LR).  These LR do not apply to Products and Services provided outside of Israel, or that are not provided by Vendor in Israel. Solely with respect to the provision of Products and Services in Israel, in the event of a conflict between the terms and conditions of these LR and the Agreement, the terms and conditions of these LR will control.

1.      Permits and Licenses.  Vendor will ensure that, at all times during the performance of Services, Vendor and its Subcontractors will have and maintain all licenses and permits that are required by any applicable laws (including any required registration with the Israeli Rasham Hakablanim), to perform any and all portions of the Services as set forth in the Work Order or Purchase Order. 

2.      Moral Rights. Vendor will procure the irrevocable consent of Vendor's and Vendor's subcontractors' employees, contractors and agents not to enforce any and all moral rights that those individuals may have, presently or in the future, arising from Amazon's use of the Deliverables under this Agreement.

3.      Data Protection.  Vendor will comply with all obligations under applicable data protection and privacy Laws, including, without limitation, the Protection of Privacy Law- 1981 and regulations promulgated thereunder, concerning the collection, processing, security and use of personal data, any applicable codes of practice and best practice guidance or directives issued by any applicable authorities, and Amazon’s privacy policy as updated from time to time (together, the “Data Protection Requirements”). Vendor must immediately notify Amazon of any breach of its obligations under this Section and cooperate with Amazon in relation to any such breach. To the extent that Vendor or any of its Personnel collects or provides Amazon with information relating to identified and identifiable individuals (“Personal Data”) in connection with the Services, Vendor hereby acknowledges and agrees that it is solely responsible for obtaining all consents required under applicable Laws in connection with the collection, disclosure, use, processing and transfer of the Personal Data to and by Amazon in connection with the Services or exercise of Amazon’s rights related to the Services and for ensuring Amazon has the right to use such information for the purpose in a manner consistent with applicable data protection and privacy Laws.
