GLOBAL SERVICES AGREEMENT SUPPLEMENTAL TERMS

LOCAL REQUIREMENTS FOR MEXICO

These Local Requirements (“LR”) incorporate and modify the Agreement solely with respect to Products and Services provided by Vendor in Mexico to an Amazon Affiliate in Mexico. The parties agree to be bound by the terms of the Agreement (as supplemented and amended by the terms of these LR).  These LR do not apply to Products and Services provided outside of Mexico, or that are not provided by Vendor in Mexico. Solely with respect to the provision of Products and Services in Mexico, in the event of a conflict between the terms and conditions of these LR and the Agreement, the terms and conditions of these LR will control.

1.       Vendor Qualifications.    Vendor represents that it: (i) is a legal entity authorized to provide the specialized Services and Deliverables for which it is engaged under this Agreement and each Work Order or Purchase Order issued by Amazon, and (ii) employs specialized technical personnel and has all the technical, economic and material resources, and the experience and specialized technical knowledge, which allows it to perform and comply with all its obligations under this Agreement and each individual Work Order or Purchase Order. Vendor also acknowledges that part of Amazon’s primary reasons for entering into this Agreement are the veracity, correctness and validity of all of Vendor’s representations herein, as well as the timely, total, and accurate compliance with all of Vendor’s obligations under this Agreement.

2.       Certificate of Registration.  Vendor must obtain and, upon Amazon’s request, provide Amazon with Vendor’s and all Vendor’s Personnel (including Vendor’s subcontractors) Certificate of Registration before the Ministry of Labor and Social Welfare (RESPE) as a legal entity authorized to provide specialized services or works, including the Services under each Work Order or Purchase Order issued, which shall remain in full force until the Services have been completed and accepted by Amazon. Upon request by Amazon, Vendor must also provide Amazon with a copy of the tax receipts for the payment of the salaries of the workers with whom it has provided the Services and Deliverables, the payment receipt issued by the banking institution for the tax return of the withholding of taxes made to such workers, the payment of the employer's social security contributions to the Mexican Social Security Institute, and the payment of the contributions to the National Workers' Housing Fund Institute. If Vendor does not have a Certificate of Registration or it is revoked, Amazon may terminate the Agreement or any Work Order or Purchase Order immediately without liability.

3.       Indemnification.  Vendor will indemnify and hold harmless Amazon and all Indemnified Parties from any labor or security claims or liability that may be attributed to them as a consequence of the labor relationship with Vendor and any Vendor Personnel providing the Services.

4.       Collective Bargaining Agreement.  Vendor will comply, at its own expense, with all obligations to its employee assumed under any Collective Bargaining Agreement.  Vendor represents and warrants that (i) it has executed a Collective Bargaining Agreement that governs the working conditions in its establishments, including any Amazon site or other location where the Services are performed, or (ii) it will execute such a Collective Bargaining Agreement prior to commencing Services on any Amazon site.
