GLOBAL SERVICES AGREEMENT SUPPLEMENTAL TERMS

These terms are part of the Global Services Agreement. Amazon may update these terms from time to time. Save a copy of this version as needed for your internal records.
Trade Compliance. Vendor represents, warrants, and covenants that:
1. Vendor is not (i) located in, incorporated or organized under the laws of, or owned or controlled by the government of a country or territory that is subject to country-wide or territory wide sanctions; or (ii) otherwise subject to sanctions by the United States government, the United Nations, the European Union or its member states, or any other applicable government authority.
2. Vendor, its financial institutions, subcontractors, sublicensee, and contractors are not subject to sanctions or otherwise designated on any list of prohibited or restricted parties or owned or controlled by such a party, including lists maintained by the United Nations Security Council, the US Government (e.g., the US Department of Treasury’s Specially Designated Nationals list and Foreign Sanctions Evaders list and the US Department of Commerce’s Entity List), the European Union or its member states, or other applicable government authority.
3. Vendor will not directly or indirectly export, re-export, transmit, or cause to be exported, re-exported or transmitted, any commodities, software or technology subject to export control Laws (“Items”) to any country, individual, corporation, organization, or entity without authorization from the regulating government agency and full compliance with applicable export Laws and regulations to which such export, re-export, or transmission is restricted or prohibited, including any country, individual, corporation, organization, or entity under sanctions or embargoes administered by the United Nations, US Departments of State, Treasury or Commerce, the European Union, or any other applicable government authority.
4. Vendor will not, without prior written approval from Amazon, allow any of its employees or contractors to have access to or use of any software, technology or related information that Vendor and its employees or contractors may have access to that is or may be subject to export control Laws (“Export Controlled Materials”) if such access or use would require an export license.
