Entrants, by participating, agree to be bound by the terms of these Official Rules, the Amazon Web Services (“AWS”) Privacy Notice located at https://aws.amazon.com/privacy/, the AWS Service Terms located at http://aws.amazon.com/serviceterms/ and by our and the judges’ decisions, which are final and binding on all matters pertaining to the AWS City on a Cloud Innovation Challenge (“Contest”).
ELIGIBILITY. The Contest is open to entrants in the Constituent Services Award Category, Solving Persistent Problems Award Category, Powered by AWS Award Category, Dream Big Award Category, Public Dataset Award Category, and We Power Tech Award Category (each, a “Category”) as described below:
Constituent Services Award Category: Each entrant in this Category must: (a) be the older of 18 years old or the legal age of majority in their jurisdiction of residence; (b) be a legal resident of the 50 United States or the District of Columbia; (c) be an employee or elected official of a local or regional Government Entity (“Government Entity”) or an employee or elected official of a K-12, primary, secondary, public, or private school or district (“Educational Entity”) legally headquartered in the 50 United States or the District of Columbia; (d) be an AWS customer using Paid Services (as defined below) at the time of entry; and (e) have the full legal capacity to participate in this Contest and accept the award of Promotional Credits from AWS for Paid Services (as defined below).
Solving Persistent Problems Award Category: Each entrant in this Category must: (a) be the older of 18 years old or the legal age of majority in their jurisdiction of residence; (b) be a legal resident of the 50 United States or the District of Columbia; (c) be an authorized representative of a non-profit organization (a “Non-Profit Entity”), be an employee or elected official of a local or regional Government Entity (“Government Entity”) or an employee or elected official of a K-12, primary, secondary, public, or private school or district (“Educational Entity”) legally headquartered in the 50 United States or the District of Columbia; (d) be an AWS customer using Paid Services (as defined below) at the time of entry; and (e) have the full legal capacity to participate in this Contest and accept the award of Promotional Credits from AWS for Paid Services (as defined below).
Powered by AWS Award Category: Each entrant in this Category must: (a) be the older of 18 years old or the legal age of majority in their jurisdiction of residence; (b) be a legal resident of the 50 United States or the District of Columbia; (c) be an authorized representative of a business or sole proprietorship or an employee or elected official of an Educational Entity legally headquartered in the 50 United States or the District of Columbia; (d) be an AWS customer using Paid Services (as defined below) at the time of entry; and (e) have the full legal capacity to participate in this Contest and accept the award of promotional credit from AWS for Paid Services (as defined below).
Dream Big Award Category: Each entrant in this Category must: (a) be the older of 18 years old or the legal age of majority in their jurisdiction of residence; (b) be a legal resident of the 50 United States or the District of Columbia,; (c) be an employee or elected official of a Government Entity or an employee or elected official of an Educational Entity legally headquartered in the 50 United States or the District of Columbia; and (d) have the full legal capacity to participate in this Contest and accept the award of Promotional Credits from AWS for Paid Services (as defined below).
We Power Tech Award Category: Each entrant in this Category must: (a) be the older of 18 years old or the legal age of majority in their jurisdiction of residence; (b) be a legal resident of the 50 United States or the District of Columbia; (c) be an authorized representative of a business or sole proprietorship, an authorized representative of a non-profit organization (a “Non-Profit Entity”), an employee or elected official of an Educational Entity, or an employee or elected official of an Government Entity legally headquartered in the 50 United States or the District of Columbia, who has developed an application using Paid Services (as defined below); (d) be an AWS customer using Paid Services (as defined below) at the time of entry; and (e) have the full legal capacity to participate in this Contest and accept the award of promotional credit from AWS for Paid Services (as defined below).
Public Dataset Award Category: Each entrant in this Category must: (a) be the older of 18 years old or the legal age of majority in their jurisdiction of residence; (b) be a legal resident of the 50 United States or the District of Columbia; (c) be an employee or elected official of a local or regional Government Entity (“Government Entity”) or an employee or elected official of a K-12, primary, secondary, public, or private school or district (“Educational Entity”) legally headquartered in the 50 United States or the District of Columbia; (d) be an AWS customer using Paid Services (as defined below) at the time of entry; and (e) have the full legal capacity to participate in this Contest and accept the award of Promotional Credits from AWS for Paid Services (as defined below).
The Contest and these Official Rules are void outside of the 50 United States and the District of Columbia, and where prohibited by law, and are subject to applicable laws. Our and YouNoodle, Inc.’s (“YouNoodle”) employees, parents, affiliates and subsidiaries, and participating advertising and promotion agencies and prize suppliers/funding entities, and members of their immediate family (spouse, domestic partner, parent, child, sibling and their respective spouses, regardless of where they reside) or those living in their household, whether or not related) are not eligible. Entrants may not be members of any guild, union or other organization that may prohibit them from participating in this Contest and that would restrict, require due payment or otherwise have the right to oppose such entrant’s participation in this Contest. Prizes will be awarded in the name of the business, sole proprietorship, Non-Profit Entity, Government Entity, or Educational Entity that entered. By the time of submission, entrants must have an AWS account (see https://aws-portal.amazon.com/gp/aws/developer/registration/index.html). This Contest is a skill-based contest, and as such, the winners will not be selected randomly, but on the basis of objective judging criteria (as set forth below). PARTICIPATION EXPENSES WILL NOT BE REFUNDED.
HOW TO ENTER. The entry period begins at 8:00:00 A.M. Pacific Time (“PT”) on September 9, 2019, and ends at 11:59:59 P.M. (PT) on November 8, 2019 (“Entry Period”). To enter, during the Entry Period go to http://aws.amazon.com/stateandlocal/cityonacloud (the “Contest Website”) and you will be directed to complete an entry on the YouNoodle website for one (1) of the six (6) Categories for which you are eligible.
If you enter in the Constituent Services Award Category, Solving Persistent Problems Award Category, or Dream Big Award Category, you must indicate how large the population is that you represent by choosing one (1) of the following four (4) population sizes (each a “Population Category” or collectively “Population Categories”):

You may also submit a video (45 - 90 seconds in length; must not include music) in the English language that presents your idea or offers a demo of your application or solution (the “Video”), as well as your business, sole proprietorship, Non-Profit Entity, Government Entity, or Educational Entity’s webpage URL, and you also may submit other descriptive marketing collateral for your City on a Cloud Proposition (all of the foregoing materials, including the Video, are collectively, “City on a Cloud Marketing Materials”) as specified on the entry form.
By submitting a Video, each entrant grants to Sponsor the non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display the Video throughout the world in any media. By submitting a Video, each entrant represents and warrants that (a) his/her Video is the original creation of the business, sole proprietorship, Non-Profit Entity, Government Entity, or Educational Entity entering the Contest; (b) he/she is authorized to submit a Video on behalf of such business, sole proprietorship, Non-Profit Entity, Government Entity, or Educational Entity; (c) his/her Video has not been copied or derived in whole or in part from any other work; (d) his/her Video (including all images and people depicted in the Video) does not violate or infringe any copyright, trademark, privacy or publicity right, or other personal, proprietary or intellectual property right of any person or entity; (e) his/her Video is not defamatory, libelous, obscene, or otherwise illegal; (f) his/her Video is the sole and exclusive property of the entrant or the business, sole proprietorship, Non-Profit Entity, Government Entity, or Educational Entity entering the Contest; (g) he/she has complete, worldwide distribution rights for his/her Video; and (h) he/she has received the written consent of any person (or parent or legal guardian if such person is a minor) who appears in any Video.
If an entrant appears in his/her Video, such entrant consents, by virtue of submitting his/her Video to Sponsor, to Sponsor’s use of the entrant’s name, likeness, photograph or image, including, without limitation, a recording or parts thereof, whether in writing, audio, and/or video, for any purpose, in any media, without compensation or additional consideration to entrant. Sponsor shall have the right at any time during the Contest to request proof of such consent. Each entrant agrees to indemnify and hold harmless Sponsor and their respective affiliates, and any agents, employees or representatives of any of them, for any action brought by a person whose consent entrant did not obtain. Videos, along with the entrant’s name, city, state, country or province of residence, may be posted on any Website owned and/or operated by Sponsor or any of their respective affiliates (“Sponsor Site”), any other Website or other online point of presence on any platform, through which any products or services available on or through the Sponsor Site are described, syndicated, offered, merchandised or advertised, in Sponsor’s sole discretion. Sponsor’s decision to post a Video or any portion of a Video on any Sponsor Site does not mean that the selected Video has been selected as a winning Entry (as defined below).
Each entry form, City on a Cloud Proposition, and the City on a Cloud Marketing Materials (collectively, the “Entry”) submitted must be in the English language and must be the original creation of the business, sole proprietorship, Non-Profit Entity, Government Entity, or Educational Entity entering the Contest. Entries that do not meet the requirements set forth in these Official Rules may be disqualified in our sole discretion. More than one Entry may be submitted by any entrant. However, no more than one Entry per entrant will be selected as a Finalist (as described below). Any Entry submitted by an entrant must be substantially different than any other Entry submitted by that entrant. Entrants are responsible for all costs associated with preparing and submitting their Entries, including applications, and building and testing prototypes. All Entries or City on a Cloud Propositions that violate any intellectual property, local, state, provincial or federal laws, violate any entrant’s employer’s policies, or violate any of the AWS Service Terms referenced herein, will be deemed ineligible. Entries must be received no later than 11:59:59 P.M. (PT) on November 8, 2019. You may edit your Entry(ies) (by following the instructions provided on the YouNoodle website) until 11:59:59 P.M. (PT) on November 8, 2019. YouNoodle’s servers and clock will be deemed the official clock for the Contest and the entrant’s proof of submission does not constitute proof of our receipt. Released Parties (as defined below) are not responsible for lost, misdirected, late, illegible, incomplete, inaccurate, delayed, garbled or unintelligible Entries. Entries will not be returned to the entrants.
JUDGING.
First Round (November 12, 2019 – November 13, 2019)
Constituent Services Award Category:
From November 12, 2019 – November 13, 2019, all qualified Entries in this Category will be judged by a panel of qualified AWS judges that we select (the “AWS Judging Panel”). The AWS Judging Panel will judge the qualified Entries using the following judging criteria:(a) presents a solution that expands constituent access to goods and/or services; (b) the significance of the solution to the local community; and (c) ability to use and integrate AWS Services to provide this service.
The AWS Judging Panel will select five (5) Finalists in each of the four (4) Population Categories: Small/Medium Government Entity Population, Large Government Entity Population, Small/Medium Educational Entity Population, and Large Educational Entity Population.
We reserve the right, in our sole discretion, to select fewer than five (5) Finalists in each Population Category if we do not receive a minimum of five (5) eligible and qualified Entries in any Population Category.
Solving Persistent Problems Award Category: From November 12, 2019 – November 13, 2019, all qualified Entries in this Category will be judged by the AWS Judging Panel. The AWS Judging Panel will judge the qualified Entries using the following judging criteria: (a) the understanding and presentation of an ongoing problem in a particular community; (b) the significance of the solution to the community impacted by the particular problem, (c) the scalability of this solution to affect others impacted by the problem; and (d) the use and integration of AWS Services in the solution.
The AWS Judging Panel will select five (5) Finalists in each of the four (4) Population Categories: Small/Medium Government Entity Population, Large Government Entity Population, Small/Medium Educational Entity Population, and Large Educational Entity Population.
We reserve the right, in our sole discretion, to select fewer than five (5) Finalists in each Population Category if we do not receive a minimum of five (5) eligible and qualified Entries in any Population Category.
Powered by AWS Award Category: From November 12, 2019 – November 13, 2019, all qualified Entries in this Category will be judged by the AWS Judging Panel using the following judging criteria: (a) uniqueness of the application; (b) number and type of users of the application; (c) applicability and availability of the application to governments, school, or school district of different size and scope and in different regions; and (d) impact / results in government, school, or school district to date.
The AWS Judging Panel will select 15 Finalists. We reserve the right, in our sole discretion, to select fewer than 15 Finalists if do not receive a minimum of 15 eligible and qualified Entries in this Category.
Sustainability & Equity Award Category: From November 12, 2019 – November 13, 2019, all qualified Entries in this Category will be judged by the AWS Judging Panel using the following judging criteria: (a) expansion of citizen services, local government functions, or services to diverse or underrepresented communities; (b) demonstrable impact of the solution for the local community, real or likely, and (c) the use and integration of AWS Services in the solution.
The AWS Judging Panel will select 5 Finalists. We reserve the right, in our sole discretion, to select fewer than 5 Finalists if do not receive a minimum of 5 eligible and qualified Entries in this Category.
Dream Big Award Category: From November 12, 2019 – November 13, 2019, all qualified Entries in this Category will be judged by the AWS Judging Panel. The AWS Judging Panel will judge the qualified Entries using the following judging criteria (a) soundness of technological solution; (b) plan for implementation; and (c) the likely impact of the solution for the local community.

The AWS Judging Panel will judge the qualified Entries using the following judging criteria: (a) remarkable efforts to support and expand a dataset's user community; (b) innovation in data science methods and enabled breakthrough research; (c) exceptionally clear and thorough dataset documentation; (d) dedication to help introduce new people to data science through creation of tutorials, demo or other educational materials.
The AWS Judging Panel will select 5 Finalists. We reserve the right, in our sole discretion, to select fewer than 5 Finalists if we do not receive a minimum of 15 eligible and qualified Entries in this Category.
In late November 2019 potential Finalists will be notified by e-mail or phone. In order to proceed to the Final Round, each potential Finalist will be required to sign and return an Affidavit or Declaration of Eligibility, a Liability/Publicity Release within two (2) business days of notification. If a potential Finalist does not comply with these deadlines or with these Official Rules, as determined by us in our sole discretion, a runner-up may be notified. The Finalists’ names will be announced on the Contest Website on or about December 1, 2019.
Final Round (November 18, 2019 – November 19, 2019)
Constituent Services Award Category: From November 18, 2019 – November 19, 2019, all Finalist Entries in all Population Categories will be judged by a panel of qualified judges that we select (“Expert Judging Panel”). The Expert Judging Panel will judge the Finalist Entries in each Population Category using the following judging criteria: (a) presents a solution that expands constituent access to goods and/or services; (b) the significance of the solution to the local community; and (c) ability to use and integrate AWS Services to provide this service.
The Expert Judging Panel will select one (1) Grand Prize winner from each Population Category for a total of four (4) Grand Prize winners.

The Expert Judging Panel will select one (1) Grand Prize winner representing a business or sole proprietorship, Non-Profit Entity, Government Entity, or an Educational Entity in each of the following categories: Best Documentation; Best Community Engagement; Best Tutorial; Best Overall Dataset for a total of four (4) Grand Prize winners.
Tie Breakers. In the event there are two or more identical and equally qualified Entries, as determined by us in our sole discretion, only the first one to be submitted (as determined by us in our sole discretion) will be considered. In the event of a tie in any round, a tiebreaking judge selected by us will determine the Finalist(s) or Grand Prize winner(s), as applicable, using the judging criteria from the Final Round for that Category, as applicable. All decisions of the judging panels and any tiebreaking judge are final and binding.
ENTRANT’S PERSONAL INFORMATION. Each Entry submitted in this Contest will be submitted directly to YouNoodle. YouNoodle’s servers are located in the United States. By participating in this Contest, entrants are authorizing the transfer of personal data to the United States for purposes of administering the Contest, conducting publicity about the Contest and such additional purposes consistent with our goals or the Contest goals. By entering the Contest, entrants consent to our and YouNoodle’s collection, and our use and disclosure of entrants’ personal information for these purposes. ENTRANT REPRESENTATION AND WARRANTIES. By entering, each Entrant represents and warrants that:
(a) The City on a Cloud Proposition entered is original and was created solely by the business, sole proprietorship, Non-Profit Entity, Government Entity, or Educational Entity entering the Contest and will not violate the rights of any third party or law, code, regulation or ordinance, or the AWS Service Terms referenced herein;
(b) Entrant is the older of 18 years old or the legal age of majority in their jurisdiction of residence;
(c) Entrant is a legal resident of the 50 United States or the District of Columbia;
(d) With respect to his/her respective Category of entry:
Constituent Services Award Category: the Entrant is an employee or elected official of a Government Entity or an employee or elected official of an Educational Entity legally headquartered in the 50 United States or the District of Columbia;
Persistent Problems Award Category: the Entrant is an employee or elected official of a Government Entity or an employee or elected official of an Educational Entity legally headquartered in the 50 United States or the District of Columbia;
Powered by AWS Award Category: the Entrant is an authorized representative of a business or sole proprietorship or an employee or elected official of an Educational Entity legally headquartered in the 50 United States or the District of Columbia, who has developed an application using Paid Services;
Sustainability and Equity Award Category: the Entrant is an authorized representative of a business or sole proprietorship or Non-Profit Entity or an employee or elected official of an Educational Entity or Government Entity legally headquartered in the 50 United States or the District of Columbia, who has developed an application using Paid Services;

General Prize Conditions: Promotional credit from AWS for Paid Services (other than Amazon FPS, reserved instances or support services) must be used within one (1) year of the date of award, in accordance with the AWS Promotional Credit Terms & Conditions available at https://aws.amazon.com/awscredits/ (the “Credit T&Cs”); notwithstanding Section 1.5 of the Credit T&Cs, Contest winners may use Promotional Credits for or on behalf of a Government Entity or Educational Entity, unless prohibited by applicable law. Any use of AWS Promotional Credit will be in accordance with and subject to the Credit T&Cs. In the event of a conflict between these Official Rules and the Credit T&Cs, the Credit T&Cs will govern with respect to any AWS Promotional Credit you receive. Any use of the Unrestricted Financial Support Training Vouchers will be in accordance with and subject to the Unrestricted Financial Support Training Vouchers Terms & Conditions available at available at https://aws.amazon.com/awscredits/ . In the event of a conflict between these Official Rules and the Unrestricted Financial Support Training Vouchers Terms & Conditions, the Unrestricted Financial Support Training Vouchers Terms & Conditions will control with respect to your access to and use of any Unrestricted Financial Support Training Vouchers. Any use of AWS Training Services will be in accordance with and subject to the AWS Training Terms & Conditions available at https://aws.amazon.com/training/training-agreement/ . In the event of a conflict between these Official Rules and the AWS Training Terms & Conditions, the AWS Training Terms & Conditions will control with respect to your access to and use of any AWS Training Services.
Prizes will be delivered up to 60 days after the winners are announced. Each winner will be awarded no more than one (1) prize containing Promotional Credits from AWS for Paid Services. All Promotional Credits awarded as prizes in the Contest must be applied to future use of the applicable Paid Services by the winners. Any unused portion of the Promotional Credits will expire one (1) year after the date of award. Promotional Credits are non-transferable and may not be redeemed for cash or applied to any other account. ALL TAXES ASSOCIATED WITH ANY PRIZE ACCEPTANCE ARE THE SOLE RESPONSIBILITY OF THE WINNERS. All Promotional Credits utilized and all other prizes awarded will be inclusive of any taxes AWS is required by law to withhold as well as applicable sales, use, gross receipts, goods and service, or similar transaction based taxes (“Transaction Taxes”). To the extent that any Paid Services are subject to Transaction Taxes, the value of the Paid Services and the Transaction Taxes will be deducted from the Promotional Credits. All other taxes, costs and expenses associated with acceptance and use of any prize not specified in these Official Rules as being provided are the sole responsibility of the winners. IF TAXES ARE APPLICABLE TO THE PRIZE(S), IT IS THE RESPONSIBILITY OF THE WINNER TO PAY TO THE APPROPRIATE AUTHORITIES. We reserve the right to substitute a prize (or portion thereof) for an item of comparable or greater value, at our sole discretion. Prizes are awarded without warranty of any kind from us, express or implied, without limitation. PAYMENTS TO CONTEST WINNERS ARE SUBJECT TO THE EXPRESS REQUIREMENT THAT THE WINNER SUBMIT TO AWS ALL DOCUMENTATION REQUESTED BY AWS TO PERMIT COMPLIANCE WITH ALL APPLICABLE FEDERAL, STATE, AND LOCAL, TAX REPORTING AND WITHHOLDING REQUIREMENTS. Contest winners are responsible for ensuring that the tax documentation submitted to AWS complies with all applicable tax laws and requirements. If a winner fails to provide the documentation or submits incomplete documentation, the prize may be forfeited and we may, in our sole discretion, select an alternate winner.
ADDITIONAL CONDITIONS OF PARTICIPATION FOR ENTRANTS AND FINALISTS. The judging panels may request additional information from the entrants as may be necessary to judge the City on a Cloud Propositions, and the entrants must respond to any requests for additional information within two (2) business days from the time the request is made. Finalists and Grand Prize winners may forfeit prizes or opportunities to proceed in the Contest if (1) we are unable to contact him/her within two (2) business days of first attempted notification, or (2) the entrant fails to respond as required within two (2) business days of the date of notification. Potential Grand Prize winners will be required to provide any additional tax filing information (such as a W-9, social security number, Federal tax ID number, or W8-BEN) within three (3) calendar days following the date of first attempted notification. Failure to comply with these deadlines or with these Official Rules may result in forfeiture of place as a Finalist or Grand Prize winner.
RIGHT OF PUBLICITY. By submitting an Entry, each entrant agrees to the publishing of his/her name, business, sole proprietorship, Non-Profit Entity, Government Entity, or Educational Entity logo, city/state/province/country on the Contest Website and inclusion in a press release and other media coverage if he/she is selected as a winner. Acceptance of prizes by winners constitutes permission for us and our affiliates, agencies and designees to use winners’ names or likenesses, city/state/ country, business, sole proprietorship, Non-Profit Entity, Government Entity, or Educational Entity names, trademarks and logos for advertising and promotional purposes relating to the Contest in any and all media now or hereafter devised, worldwide in perpetuity (or to the maximum extent permissible under applicable law), without additional compensation, notification or permission, unless prohibited by law.
LIMITATION OF LIABILITY. Each winner agrees (for himself or herself and his or her heirs) that, by accepting a prize, we and YouNoodle, along with each of our respective parents, affiliates, subsidiaries, advertising and promotion agencies, directors, officers, employees and assigns, and all Contest judges (collectively, “Released Parties”), will have no liability, and will be held harmless by the winner for any liability, loss, injury or damage to property or person, including death, and reasonable attorney’s fees and court costs, due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of the prize or participation in the Contest, even if caused or contributed to by the negligence of any of the Released Parties. Released Parties are also not responsible for any unauthorized third party use or dispute with respect to the Submission Materials (as defined below).
TREATMENT OF CITY ON A CLOUD PROPOSITIONS. By participating in the Contest, each entrant warrants that it has the authority to provide its City on a Cloud Proposition to AWS, and that its City on a Cloud Proposition and any other materials or information provided by it in connection with the Contest, including City on a Cloud Marketing Materials (collectively, “Submission Materials”) do not infringe or misappropriate any intellectual or other property right of any other person or entity, including any patent or trade secret. Each entrant understands that his/her Submission Materials are non-confidential and may be made public, in whole or in part. By submitting an Entry, each entrant grants to us and our affiliates an irrevocable, nonexclusive, worldwide, fully paid-up, perpetual and royalty-free license to make, use, reproduce, display, publically perform, create derivative works of all or a portion of the Submission Materials, as well as use the entrant’s name and business, sole proprietorship, Non-Profit Entity, Government Entity, or Educational Entity name, trademarks and logos, in any promotional materials produced by or for us or our affiliates. Further, each entrant, by submitting an Entry, grants to us or our affiliates an irrevocable, nonexclusive, worldwide, fully paid-up, perpetual and royalty-free license to make, use, reproduce, display, publically perform, create derivative works of, and disclose all or a portion of any Submission Materials in connection with the Contest. The foregoing grants shall be limited for a period of two (2) years for all eligible Entries; and in perpetuity for Entries submitted by the Finalists (or to the maximum extent permissible under applicable law). The entrants, by these Official Rules, do not grant any other licenses to us or our affiliates under existing or future copyrights or patents. The entrants should be guided by their own attorneys as to the desirability of seeking patents or other protection for their City on a Cloud Propositions. Each entrant acknowledges that we or our affiliates may currently or in the future be developing information, products, concepts, services, or techniques internally, or receiving information, products, concepts, services, or techniques from other parties, that is similar to Submission Materials (“Our Developed Materials”). Nothing in these Official Rules will be construed as a representation or agreement that we or our affiliates will not develop or have developed information, products, concepts, systems, services or techniques that are similar to or compete with the products, concepts, systems, services or techniques contemplated by or embodied in any Submission Materials. Each entrant agrees to waive any claims or action he/she has or may have in connection with Our Developed Materials.
LIMITATION OF TECHNICAL LIABILITY. Released Parties are not responsible for transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions or limitations of any kind, or inaccurate transmissions of or failure to receive entry information by us on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof. Released Parties are not responsible for injury or damage to any entrant’s or any other computer resulting from downloading any materials in connection with the Contest.
RIGHT TO TERMINATE CONTEST. We, in our sole discretion, reserve the right to terminate the Contest in the event it does not receive a minimum of 100 qualified Entries from separate eligible entrants. And, if for any reason the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, we may, in our sole discretion, change these Official Rules or cancel, terminate, modify, or suspend the Contest. If terminated, we may select winners for the applicable Categories from all non-suspect, eligible entries received as of the termination date using the judging procedure outlined above. We may disqualify any individual found to be tampering with the entry process or the operation of the Contest or website; to be acting in violation of these Official Rules; or be acting in an unsportsmanlike or disruptive manner or with intent to annoy, abuse, threaten, or harass any other person and void all associated entries.
CHOICE OF LAW. This promotion is governed by U.S. law and is subject to all applicable federal, state, and local laws. Any and all legal actions or claims arising in connection with this promotion must be brought in a court of competent jurisdiction in the state of Washington.
