AWS Certification Program Agreement

This AWS Certification Program Agreement (the “CPA”) contains terms that govern your participation in the AWS Certification Program (as defined below), entered into between Amazon Web Services, Inc. (“AWS,” “we,” “us,” or “our”) and you (“you”), and is an addendum to and made a part of your AWS Customer Agreement (available at http://www.aws.amazon.com/agreement) (the “Customer Agreement”), as it may be updated from time to time. By accepting these terms, you represent to us that you are lawfully able to enter into this CPA. If you are between 13 and 17 years of age, your parent or legal guardian must accept the terms of this CPA on your behalf in order for you to participate in the Program. Capitalized terms not defined in this CPA have the meanings set forth in the Customer Agreement.

1. The AWS Certification Program.

1.1. Participation Requirements.

To participate in the Program and obtain an AWS Certification, you must:
(a) take the applicable Certification Exam(s) and receive a passing score;
(b) comply with all additional requirements associated with such AWS Certification as may be specified on the AWS Certification Site; and
(c) adhere to all laws, rules, and regulations applicable to the Program, including the Customer Agreement, this CPA and all Policies (all of the foregoing collectively, the “Certification Requirements”).

1.2. Validity.

Each AWS Certification is valid for a period of 3 years following the date on which you successfully pass the applicable Certification Exam.

1.3. Your Responsibilities.

At all times when you are holding yourself out as the recipient of an AWS Certification, or at any time that you are providing services that relate to AWS or any Services, you will:
(a) conduct your activities in a professional and competent manner;
(b) promote AWS and the Services in a manner that maintains the good name and reputation of both AWS and the Services;
(c) not make any representations, warranties, or guarantees to third parties with respect to AWS or the specifications, features, or capabilities of any of the Services;
(d) not engage in any illegal, false or deceptive acts or practices; and
(e) otherwise comply with the terms of the Customer Agreement, including this CPA.

1.4. Use of Name and Logo.

Subject to your completion of and compliance with the Certification Requirements, including the AWS Trademark Guidelines, we grant you the limited right to use the name of the specific AWS Certification that you have received and the associated AWS Marks, which will be made available in your AWS account or sent to you directly after passing an exam, solely to indicate your status of holding that AWS Certification. This right terminates when your AWS Certification is no longer valid or is revoked or terminated (including for use of any Marks in a manner not authorized by this CPA or the Trademark Use Guidelines). We may revoke your license to use any AWS Mark associated with the AWS Certification at any time by giving you written notice.

2. Testing.

2.1. Testing Rules.

You will comply with all rules and regulations applicable to registration, administration, scoring and reporting of the Certification Exam as set forth by AWS or by a Certification Exam Provider, including, without limitation, fully and truthfully cooperating with any investigation into testing irregularities. You will not engage in any misconduct in connection with the Certification Exam, including:
(a) receiving or providing unauthorized assistance, or submitting work that is not your own;
(b) possession or use of unauthorized materials during any Certification Exam;
(c) falsifying your identity or identification documents, or misusing any testing identification number, username, or other credentials that have been provided to you;
(d) allowing another individual to test under your identity or using exam results that you did not validly obtain;
(e) failing to adhere to any testing policy, procedure, or directions;
(f) disclosing or disseminating the content of any Certification Exam or Testing Materials;
(g) smoking or consuming or being under the influence of alcohol or drugs during any Certification Exam;
(h) engaging in disruptive, abusive, threatening, or destructive behavior during any Certification Exam; or
(i) any other actions that are inconsistent with the Certification Requirements.

2.2. Retakes.

If you do not pass a Certification Exam, you may retake that Certification Exam only in accordance with the retake policy as described on the AWS Certification Site.

2.3. Confidentiality.

You agree that all Testing Materials, including and Certification Exams, are AWS Confidential Information. AWS owns all right, title and interest in its Confidential Information, including all technology and intellectual property rights. You may not use, disclose, reproduce, copy, transmit, distribute, or make derivative works of AWS Confidential Information in any form.

2.4. Noncompliance.

If we determine that you have violated the terms of this CPA, including Section 2, we may in our sole discretion (and without refunding any testing fees) cancel the results of any Certification Exam, revoke any AWS Certification, require you to retake an exam, terminate your rights under this Agreement and prohibit you from participating in the Program, before, during or after a Certification Exam.

3. Term and Termination.

3.1. Term.

The term of this CPA will begin when you click an “I Accept” button or check box presented with these terms, or otherwise schedule or sit for an AWS Certification Exam, and will continue until the termination of your Customer Agreement, the termination of your access to the Program, or at such time that you no longer hold a valid AWS Certification.

3.2. Effect of Termination.

Upon any termination of this CPA, all your rights under this CPA immediately terminate, all AWS Certifications you hold will immediately become invalid, you will immediately cease to hold yourself out as holding any AWS Certification, and you will immediately cease all use of the AWS Marks. Your obligations to cooperate with any irregularity investigation and to adhere to all confidentiality provisions will remain in effect.

4. Limitations of Liability.

NEITHER WE NOR ANY OF OUR AFFILIATES, LICENSORS OR CERTIFICATION EXAM PROVIDERS WILL BE RESPONSIBLE FOR ANY COMPENSATION, REIMBURSEMENT, OR DAMAGES (INCLUDING LOST PROFITS OR OTHER INDIRECT OR SPECIAL DAMAGES) ARISING IN CONNECTION WITH: (I) YOUR FAILURE TO ACHIEVE AWS CERTIFICATION OR OTHER INABILITY TO PARTICIPATE IN THE PROGRAM, INCLUDING AS A RESULT OF ANY (A) TERMINATION OR SUSPENSION OF THIS CPA, OR (B) OUR DISCONTINUATION OF ANY AWS CERTIFICATION, CERTIFICATION EXAM, OR ALL OR PART OF THE PROGRAM; OR (II) ANY INVESTMENTS, EXPENDITURES, OR COMMITMENTS BY YOU IN CONNECTION WITH THIS CPA OR YOUR USE OF OR ACCESS TO THE PROGRAM.   THE LIMITATIONS IN THIS SECTION APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.   

5. Definitions.

“AWS Certification” means a specific certification designation that you may receive from us indicating you have received a passing score on a Certification Exam with respect to certain AWS products or services and met other Certification Requirements as may be specified by us.
“AWS Certification Program” or “Program” means the program in which we make available certain AWS Certifications.
“AWS Certification Site” means http://aws.amazon.com/certification/ (and any successor or related site designated by AWS), as may be updated by AWS from time to time. References to the AWS Site in the Customer Agreement include the AWS Certification Site.
“AWS Marks” means any trademarks, service marks, service or trade names, logos, and other designations of AWS and its affiliates that we may make available to you in connection with this CPA or the Program.
“Certification Exam” means the exam that you must pass to receive a particular AWS Certification.
“Certification Exam Provider” means any third party authorized by AWS to administer Certification Exams.
“Testing Materials” means the Certification Exam and any other materials that are provided to you in connection with a Certification Exam (which may include instructions, study materials, exam questions, or other content).
