You need them when a single host has more than two physical processors. The base VM Server license covers one host with two socket licenses. Each processor socket past those two requires one additional VMSocket unit, so cost rises with the host's socket count.
Does this add-on cover VMware and Hyper-V hosts alike?
Yes. The base VM Edition license covers both VMware and Hyper-V hypervisors, and additional socket licenses apply the same way. You buy one VMSocket unit per physical processor beyond the two included, regardless of which hypervisor runs on the host.
