Infrastructure-as-Code Escrow

Business Continuity is key for cloud users; whether you are a SME, enterprise or ISV. It is one of the key reasons for organizations to choose for Amazon Web Services (AWS). A dedicated cloud services provider, such as CloudNation, leads organizations to benefit the most from the AWS platform.
For that purpose, CloudNation has developed proprietary Infrastructure as Code (‘IaC’) to manage and provision cloud infrastructure for its clients. IaC is a key asset and the intellectual property of CloudNation. Under regular circumstances, CloudNation’s IaC is strictly confidential and inaccessible.

For decades, a software escrow agreement is a common tool for IT risk mitigation for mission critical software developed by third parties. If case of unexpected and unmanageable failure of the software developer, such as bankruptcy/insolvency, the user obtains access to the software source code enabling the provision of further maintenance and support. The software source code is stored and updated by an independent trusted third party, an escrow provider.

CloudNation is keen to proactively address and to meet all client requirements; both technical and organizational. Whilst CloudNation is financially sound and backed by strong shareholders/investors, we acknowledge the potential devastating impact of a cloud services provider’s failure towards its clients. To provide clients peace-of-mind, the source code of CloudNation’s IaC is deposited with Escrow4all under an umbrella escrow agreement. Participating clients have access to CloudNation’s IaC - for continuity purposes only - in the (unlikely) event CloudNation becomes insolvent.

The source code of the customer tailored Infrastructure-as-Code developed and used by CloudNation for managing and provisioning of its client’s cloud infrastructure is stored with Escrow4all. In the event of CloudNation’s failure, the escrowed material may be accessed by the client to take control over its cloud infrastructure. Escrow4all ensures that the escrow deposits are updated and verified. In fact, an Infrastructure-as-Code Escrow should be a compulsory part of every exit plan between a cloud services provider and its client.

• Conditional legal rights to access and to use CloudNation’s IaC for business continuity purposes (as per CloudNation’s General Terms of Escrow)
• The infrastructure source code will be deposited with Escrow4all through their Escrow Repository Procedure. This ensures that the most current version of the source code is available should the escrow arrangement becomes active.
