Sherpas SPA module manages Sales and Purchase Agreements from screening through signing and closing, with full visibility over buyers, sellers, advisers, transaction stages, and deal timelines. Track the commercial and legal substance of each transaction, including economic amount, enterprise value, equity value, assumed debt, escrow amounts and release dates, pricing mechanism, financing strategy, regulatory approvals, representations and warranties insurance, Conditions Precedent, and contingent payments such as earnouts.

When an SPA is executed, shareholder structures are updated automatically to reflect the transfer of ownership in the SPV or asset vehicle. This gives teams a single source of truth across development, investment, and transaction management.
