Sherpas SPA module manages Sales and Purchase Agreements from screening through signing and closing, with full visibility over buyers, sellers, advisers, transaction stages, and deal timelines.
Track the commercial and legal substance of each transaction, including economic amount, enterprise value, equity value, assumed debt, escrow amounts and release dates, pricing mechanism, financing strategy, regulatory approvals, representations and warranties insurance, Conditions Precedent, and contingent payments such as earnouts.

Sherpa is billed under a contract with six tiers scaled by the number of projects you manage. Starter covers up to 25 projects. Professional covers up to 100. Enterprise covers up to 200. Enterprise Plus covers up to 350. Enterprise Max covers up to 500. Enterprise Unlimited removes the project cap. You pick the tier that matches your expected project volume, and pricing rises as the project limit increases. All tiers deliver the same platform, so the difference between them is the ceiling on how many projects you can run.
Top-of-mind questions for buyers
What counts as one project for billing across these tiers?
A project is one energy project you track in the platform, covering its land, permits, milestones, risks, and portfolio performance. Each tier caps how many active projects you can manage. Your tier is set by that project count, not by the number of users or data volume.
What happens if my project count grows past my tier's limit?
Each tier sets a ceiling on active projects. When you reach that limit, you move to a tier with a higher project cap. The change is not automatic — you select the tier that matches your project volume. Enterprise Unlimited removes the cap entirely if your volume keeps growing.
Does moving to a higher tier add features, or only raise the project limit?
All tiers deliver the same platform capabilities, including land, permit, milestone, risk, and portfolio tracking. The only difference between tiers is the number of active projects you can run. Choosing a higher tier raises that ceiling; it does not unlock extra features.
